Terms of Service

How the Company Works With You

Effective date: 25 November 2025. Please review before confirming an engagement.

1. Overview

These Terms of Service govern all services provided by Ingenex Pty Ltd (ABN 68 955 192 465) trading as Automated Compliance Partners (the Company) via the CogniRisk platform. By purchasing an engagement, registering interest, or receiving deliverables, you agree to these terms.

2. Services

  • The Company offers fixed-scope engagements (Start-Up, Regulatory Readiness, Portfolio Assessment) and fractional retainers.
  • Deliverables include executive-ready risk and compliance reports, control maps, recommendations, and advisory sessions.
  • The Company may decline or pause work if prerequisites are not met or if the engagement would breach legal or ethical obligations.

3. Client responsibilities

  • Provide accurate, lawful information and timely access to stakeholders or systems required for assessment by the Company.
  • Ensure you have authority to share any third-party data with the Company.
  • Review deliverables promptly and advise the Company of any factual inaccuracies.

4. Fees and payment

  • Fixed-fee engagements are payable upfront to secure a delivery slot.
  • The Executive Retainer is a 12-month commitment billed monthly at $1,650 AUD per month (10 hours guaranteed).
  • Cancellation of the Executive Retainer requires 30 days written notice before the next monthly anniversary payment date.
  • Fractional blocks are invoiced in advance unless otherwise agreed.
  • Late payments may pause delivery until the account is brought current.

5. Intellectual property

Ingenex Pty Ltd (ABN 68 955 192 465) trading as Automated Compliance Partners retains ownership of CogniRisk, proprietary methodologies, templates, and know-how developed before or during the engagement. The Company grants clients a perpetual, non-transferable licence to use the specific deliverables supplied for their internal business purposes.

6. Confidentiality

Both parties must protect Confidential Information with the same care used for their own sensitive data and only use it for the engagement. This obligation survives completion or termination of the services.

7. Data protection

The Company processes personal and corporate data in accordance with the Privacy Statement. Infrastructure partners include Supabase, Google Cloud, Cursor, OpenAI, and Anthropic, each operating under their own security and compliance programs.

8. Limitation of liability

To the maximum extent permitted by law, the Company’s aggregate liability arising from any engagement is limited to the total fees paid for that engagement. Ingenex Pty Ltd (ABN 68 955 192 465) trading as Automated Compliance Partners is not liable for consequential or indirect losses, loss of profit, or regulatory penalties resulting from client decisions.

9. Termination

  • Either party may terminate for material breach with 14 days' written notice if the breach is not remedied.
  • The Company may terminate immediately if continuing the engagement would contravene legal, ethical, or contractual obligations.
  • For the Executive Retainer, cancellation requires 30 days written notice before the next monthly anniversary payment date. Early termination of the 12-month commitment may incur fees as agreed at the time of engagement.
  • Upon termination, clients will receive all work-in-progress deliverables applicable to fees paid up to that date.

10. Governing law

These terms are governed by the laws of Victoria, Australia. The parties submit to the exclusive jurisdiction of Victorian courts.
